Terms of Use

These terms govern your access to and use of the Meridian Search Partners website and executive search services.

Effective date: July 18, 2026

These Terms of Use ("Terms") form a binding agreement between you and North Bridge Path LLC d/b/a Meridian Search Partners ("Meridian Search Partners", "we", "us", or "our"). Please read them carefully. By accessing or using our website (the "Site") or our executive search and leadership advisory services (together, the "Services"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Acceptance of Terms

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy. If you are using the Services on behalf of a company, fund, or other legal entity (for example, an employer, board, or investor), you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" will refer to that entity.

2. Who We Are and What We Do

Meridian Search Partners is an executive search and leadership advisory firm that helps companies identify, assess, and hire senior leadership — including C-suite, board, and VP+ roles — through retained executive search, embedded and fractional recruiting, and talent intelligence services.

We are a search firm, not the employer. Unless expressly agreed by us in a separate written agreement, Meridian Search Partners is not the employer of any candidate or executive we identify or present, and is not a party to any employment, independent-contractor, or service relationship formed between a client and a placed candidate. Decisions about whom to interview, hire, engage, compensate, supervise, and retain are made solely by the client.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms in order to use the Services. By using the Services, you represent and warrant that you meet these requirements.

4. Accounts and Registration

To access certain features, you may be required to submit information through our forms or scheduling tools. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account, and you agree to notify us immediately of any unauthorized use.

5. Search and Use of Information

A primary function of the Services is to connect client companies with executive candidates. By submitting information through the Services (such as role specifications, mandate details, company information, or candidate materials), you agree that we may use it to provide executive search and advisory services, including sharing relevant information with prospective clients or candidates as needed to conduct a search — subject to the confidentiality and disclosure standards described in our Privacy Policy and our AI method.

We take reasonable measures to protect the information you submit in accordance with our Privacy Policy. You are responsible for ensuring you have the right to share any information you submit about third parties.

6. No Guarantee of Results

Meridian Search Partners provides search and advisory services on a reasonable-efforts basis. Except for any replacement guarantee expressly set out in a signed engagement agreement, we do not guarantee:

  • that any candidate, placement, or hire will be identified, accepted, or completed;
  • the performance, qualifications, reliability, availability, or conduct of any candidate or executive;
  • any specific business, organizational, financial, or leadership outcome.

Leadership outcomes depend on many factors outside our control, including your onboarding, management, governance, compensation, offer quality, and organizational execution. You are solely responsible for your own hiring decisions and for complying with all applicable employment, labor, tax, immigration, and data-protection laws.

7. Client and Candidate Responsibilities

You agree that you will:

  • use the Services only for lawful purposes and in compliance with these Terms and all applicable laws;
  • provide accurate information and not misrepresent your identity, organization, or hiring needs;
  • treat candidates and other users fairly and without unlawful discrimination;
  • keep confidential any non-public candidate, company, or search information you receive through the Services and use it only for legitimate search purposes.

8. Fees and Payment

Browsing the Site is free. Retained search, embedded recruiting, fractional recruiting, intelligence products, and other engagement services are subject to fees set out in a separate written agreement, proposal, or statement of work between you and Meridian Search Partners. Those terms — including fees, minimums, payment schedules, and any replacement or guarantee provisions — will govern the applicable engagement. In the event of a conflict between such an agreement and these Terms regarding a paid engagement, the signed agreement controls.

9. User Content and License

Responsibility. You are solely responsible for any content you submit or upload to the Services, including role specifications, mandate details, résumés, and other materials. You represent and warrant that you have the necessary rights and permissions to provide such content.

License. By submitting content, you grant Meridian Search Partners a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, store, distribute, prepare derivative works of, display, and perform that content solely as necessary to operate, provide, and improve the Services and our business operations.

10. Acceptable Use

You agree not to:

  • violate any law or the rights of others, or use the Services for fraudulent or deceptive purposes;
  • post false, misleading, infringing, defamatory, or unlawful content, including fake mandates or candidate profiles;
  • harvest, scrape, or collect information about other users or candidates without authorization;
  • upload viruses or malicious code, or attempt to disrupt, overload, or gain unauthorized access to the Services or related systems;
  • reverse engineer, copy, or resell any part of the Services except as expressly permitted.

11. Intellectual Property

The Services, including all text, graphics, logos, the Meridian Search Partners name and brand, software, and design, are owned by or licensed to Meridian Search Partners and are protected by intellectual property laws. Except for the limited right to access and use the Services under these Terms, no rights are granted to you. You may not use our trademarks or branding without our prior written consent.

12. Third-Party Links and Services

The Services may contain links to or integrations with third-party websites or tools (for example, scheduling or communication platforms). We do not control and are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their own terms and privacy policies.

13. Privacy

We respect your privacy and handle personal information in accordance with our Privacy Policy. By using the Services, you consent to the collection, use, and sharing of information as described there.

14. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, error-free, or free of harmful components, or that any candidate or client information will be accurate or complete.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Meridian Search Partners and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, goodwill, or other intangible losses, resulting from:

  • your use of or inability to use the Services;
  • the conduct, performance, or acts or omissions of any candidate, executive, client, or other user;
  • any unauthorized access to or use of our servers or information stored therein;
  • any interruption or cessation of the Services; or
  • any bugs, viruses, or errors in content made available through the Services,

whether based on warranty, contract, tort, or any other legal theory, and whether or not we have been advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Services will not exceed the greater of the amounts you paid to us for the applicable Services in the three (3) months preceding the claim, or USD $100.

16. Indemnification

You agree to indemnify, defend, and hold harmless Meridian Search Partners and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms or any applicable law; (c) your content; or (d) your hiring, engagement, supervision, or treatment of any candidate or executive.

17. Termination

We reserve the right to suspend or terminate your access to the Services at our discretion, without notice, for any violation of these Terms or for any other reason. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective date" above. It is your responsibility to review these Terms periodically. Your continued use of the Services after changes become effective constitutes acceptance of those changes.

19. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in the State of Georgia, United States, unless otherwise required by applicable law.
